Digital Advisory – Referral Terms


1. Scope


These Referral Terms govern the introduction of potential clients to Digital Advisory by members of its network ("Referrers").


Participation in the referral program is voluntary and subject to these Terms.


2. Eligibility


Referrals may only be made by individuals who:


  • are invited members of the Digital Advisory network; and
  • act in their personal capacity;

Referrals must not:


  • create a conflict of interest with the Referrer's employer or professional obligations;
  • breach any contractual, legal, or internal policy restrictions.

Digital Advisory reserves the right to decline any referral at its discretion.


3. Definition of a Valid Referral


A referral is considered valid where:


  • the Referrer introduces a new individual or organization not previously engaged with Digital Advisory;
  • the introduction is made directly by the Referrer (e.g. email introduction, facilitated contact); and
  • the referred party enters into a paid engagement with Digital Advisory.

Digital Advisory retains sole discretion in determining whether a referral is valid.


4. Compensation Structure


Subject to these Terms, the Referrer may receive:


4.1 Upfront reward


25% of the first engagement value paid by the referred client.


4.2 Individual growth


10% of additional revenue generated from individual stakeholders within the referred organization directly introduced by the Referrer, for a period of 18 months from the date of the first paid engagement.


4.3 Account expansion


5% of total revenue generated from the referred organization for a period of 18 months from the date of the first paid engagement, excluding any revenue already compensated under section 4.2 (Individual growth).


5. Conditions for Payment


Payments are subject to:


  • receipt of funds by Digital Advisory from the client;
  • confirmation that the referral meets eligibility criteria;
  • absence of any breach of these Terms.

Digital Advisory reserves the right to:


  • withhold or cancel payments in case of dispute, misrepresentation, or non-compliance;
  • adjust or correct payments in case of error.

5.1 Independent Verification


Digital Advisory may appoint an independent third-party firm, including a recognized international audit firm, to periodically review the calculation and payment of referral fees.


Where such review is conducted, it is intended to ensure that referral compensation is calculated accurately and applied in accordance with these Terms.


6. Exclusions


No compensation will be payable where:


  • the referred organization is already in active discussion with Digital Advisory;
  • the introduction does not materially contribute to the engagement;
  • the referral creates a conflict of interest or regulatory issue;
  • the Referrer is acting in a formal commercial, sales, or intermediary capacity unless otherwise agreed in writing.

7. Duration


Individual Growth (4.2) and Account Expansion (4.3) apply for a maximum period of 18 months from the date of the first paid engagement.


No compensation is payable beyond this period.


8. Nature of Relationship


Referrers:


  • act independently and are not employees, agents, or representatives of Digital Advisory;
  • have no authority to bind Digital Advisory or negotiate on its behalf.

Participation does not create:


  • an employment relationship;
  • a partnership or joint venture.

9. Confidentiality


Referrers must:


  • treat all information related to Digital Advisory and its clients as confidential;
  • not disclose sensitive or non-public information without authorization.

10. Compliance


Referrers are responsible for ensuring that:


  • their actions comply with applicable laws and regulations;
  • any required internal approvals are obtained prior to making introductions.

11. Amendments


Digital Advisory may update these Terms at any time.

12. Governing Law


These Terms shall be governed by and construed in accordance with the laws of Spain.


13. Additional Terms


Participation in the referral program is also subject to Digital Advisory's standard Terms of Service and Privacy Policy, as updated from time to time.
